Primary Purpose
The primary focus of the Toronto Chapter of IAOP will be to provide an opportunity for members in Canada (greater Toronto area) or members wanting to do business in Canada, to meet for networking and learning about Canadian cross-border outsourcing issues. n

Most Recent meeting held May 25, 2009!

The most recent meeting of the IAOP Canada (Toronto) Chapter, chaired by Lisa Abe of Fasken Martineau DuMoullin LLP,  was held May 25, 2009 at the Toronto offices of Fasken Martineau DuMoulin LLP.

Lisa introduced the keynote speaker, Bruce Yott from Quint Wellington Redwood who addressed the topic of “Outsourcing Strategies to Create Opportunities in the Current Economy.”  Bruce examined new drivers, trends and the movement to a multi-vendor environment; discussed new frameworks, contracts and impact on organizational structures and resources; addressed new roles for the CIO and CTO; reviewed balancing the management of innovation, flexibility and cost control as well as building in continuous improvement.

Meeting held - October 22, 2008


 The Canada (Toronto) Chapter held their most recent meeting, chaired by Fasken Martineau DuMoulin LLP, on Wednesday, October 22 at the Fasken Martineau DuMoulin offices, 66 Wellington Street West, Toronto Dominion Bank Tower, 36th Floor – Lewtas/Arnoldi Boardrooms, Toronto, Canada.

Chapter chair, Lisa Abe of Fasken Martineau DuMoulin introduced Mark R. McKay of Jones Brown Incorporated and John Beardwood of Fasken Martineau DuMoulin LLP who shared their expertise on the topic entitled “Keeping yourself covered: Insurance issues in Outsourcing Transactions.”  Insurance is a form of risk management used to hedge against a risk of contingent loss.  For a customer seeking to outsource a system or function, outsourcing transactions can increase this risk.  This risk profile can further change where the provider is outside the jurisdiction, or part of a customer multi-sourcing strategy.

In order to improve the understanding of this area, our experts provided an overview of first and third party triggers; the importance of inclusions and exclusions, and looking behind the insurance certificate; how to dovetail the outsourcing and the applicable insurance contracts; multijurisdictional issues; and the role of special risk management vehicles like performance bonds.

Meeting held -  March 28, 2008

The IAOP Canada (Toronto) Chapter held their latest meeting on March 28, 2008 from 12:00 noon to 2:00 p.m. (EST) at the offices of Fasken Martineau DuMoulin LLP, 66 Wellington St. West, 42nd floor, TD Bank Tower, Toronto.  As a convenience, the Fasken Martineau DuMoulin LLP Vancouver office participated by video-conference.

The topic of this first meeting in 2008 was “The Impact of Insolvency on Outsourcing Transactions” presented by Edmund Lamek & Lisa Abe of Fasken Martineau DuMoulin LLP.

Discussion included: the effect of the Bankruptcy and Insolvency Act  and the Companies’ Creditors Arrangement Act on outsourcing contracts, Bill C-12, Canadian and U.S. liquidation and reorganization proceedings, assignability of contracts, termination rights and remedies, survival of licenses, due diligence for insolvency risk, contractual provisions and maintaining outsourcing services after an insolvency has occurred.

Summary of meeting held November 23, 2007

                                                                               
The fourth meeting of the Canada (Toronto) chapter was held on Friday, November 23, 2007 at the offices of Fasken Martineau, Toronto. The meeting was video-conferenced to other Fasken Martineau locations as well.

The focus of the meeting was Information Security Compliance.

Anita M. Huntley, Partner and Jason J. Kee, Associate of Fasken Martineau covered emerging legal requirements regarding information security, the practical implications of these requirements on outsourcing, and how both customers and service providers can manage compliance.

Topics covered included:

  • Emerging legal issues and requirements, including:
    • Tort liability (incl. breach of confidence & negligence)
    • Privacy (incl. breach notification requirements)
    • Electronic documents and evidence
    • Emerging corporate governance regulatory regime (SOX & MI 52-109)
  • Impact of legal issues and requirements on outsourcing arrangements
  • Effectively managing compliance in outsourcing agreements
  • Using industry standards
  • Compliance checklist


Meeting held – Wednesday, August 22

The third meeting of the Canada chapter was held on Wednesday, August 22. Lisa Abe, Partner, Fasken Martineau and IAOP Toronto Chapter Chair, and Darlene Ross, Director, Technology Operations, BMO Financial Group presented on the topic Orientation, Governance and Administration

Meeting held – Tuesday, June 19

The second meeting of the Canada chapter was held on Tuesday, June 19, 2007 at the offices of Fasken Martineau DuMoulin LLP, 66 Wellington Street West, 42nd floor, Dominion Bank Tower, Toronto.

Connected Sourcing: The New Strategy Agenda

CEOs’ priorities, the experiences of leading organizations, and emerging technology trends all suggest that by 2010 the world will be even more global and competitive than it is today.
